1. KEY DATES:

The Ultimate Figure-it-Outer Contest (the “Contest”) begins on February 5, 2018 at 4:00:00 a.m. Central Time (“CT”) and ends on August 26, 2018 at 11:59:59 p.m. CT (the “Contest Period”). The Contest Period is divided into the following three (3) time periods:

Submission Period: The Submission Period begins on February 5, 2018 at 4:00:00 a.m. CT and ends on April 13, 2018 at 11:59:59 p.m. CT (the “Submission Period”);

Online Voting Period: The Online Voting Period begins on May 14, 2018 at 4:00:00 a.m. CT and ends on June 17, 2018 at 11:59:59 p.m. CT (the “Online Voting Period”);

Competition Period: The Competition Period begins on August 13, 2018 at 12:00:00 a.m. CT and ends on August 26 2018 at 11:59:59 p.m. CT (the “Competition Period”);

2. ELIGIBILITY TO ENTER:

Contest is open to residents of Canada (excluding residents of Quebec) who have reached the legal age of majority in their province/territory of residence at the time of entry; except employees, representatives or agents (and those with whom such persons are living, whether related or not) of Princess Auto Ltd. (the “Sponsor”), its affiliated entities, prize suppliers, advertising/promotion agencies and any other individual(s), entity or entities involved in the development, production, implementation, administration, judging or fulfillment of the Contest (collectively with the Sponsor, the “Contest Parties”).

3. AGREEMENT TO BE LEGALLY BOUND BY RULES:

By participating in this Contest, you are signifying your agreement that you have read and agree to be legally bound by the terms and conditions of these Official Rules and Regulations (the “Rules”).

4. HOW TO ENTER A SUBMISSION:

NO PURCHASE NECESSARY. MAKING A PURCHASE WILL NOT INCREASE OR OTHERWISE IMPACT YOUR CHANCES OF WINNING IN THIS CONTEST. You can earn an Entry (each, an “Entry” and collectively, the “Entries”), as follows:

Go to ultimatefigureitouter.ca or debrouillardparexcellence.ca (the “Website”) during the Submission Period and follow the on-screen prompts to: (i) obtain the Official Contest Entry Form (the “Entry Form”); (ii) fully complete the Entry Form with all required information; (iii) upload information [including written description, photos, video (if available), drawings (if available)] relating to one (1) invention, modification or device that has been created by you (your “Project”); and (iv) click “Enter here”.

IMPORTANT NOTE: To be eligible, any digital file associated with your Project must be in one (1) of the following formats: Video: MOV, MPEG, MPG, MP4, M4V, VOB, FLV, AVI, ASF, DIVX, WMV (For best results, 16 x 9 aspect ratio) Maximum file size: 500 MB; Photo: JPG, GIF, TIF, PNG (For best results, 720px wide x 405px high, landscape/horizontal orientation) Maximum file size: 50 MB; Maximum size in pixels: 8000 x 8000 (This the maximum size for the original image, the image will be scaled to fit).

To be eligible, all content and materials associated with your Entry (collectively, the “Entry Materials”) must: (i) be submitted and received in accordance with these Rules during the Submission Period; (ii) include all required components and materials noted above; and (iii) be in full compliance with these Rules, including, but not limited to, the specific Submission Requirements listed below in Rule 7 (all as determined by Sponsor in its sole and absolute discretion).

5. ENTRY LIMIT AND CONDITIONS:

There is no limit to the number of Entries per person. However, you cannot submit the same (or substantially the same) Project more than one (1) time in this Contest. If it is discovered by the Sponsor (using any evidence or other information made available to or otherwise discovered by the Sponsor) that any person has attempted to: (i) submit the same (or substantially the same) Project more than one (1) time in this Contest; and/or (ii) use multiple names, multiple identities, multiple email addresses, any automated, macro, script, robotic or other system(s) or program(s), and/or any other means not in keeping with the Sponsor’s interpretation of the letter and spirit of these Rules to enter or otherwise participate in or to disrupt this Contest; then he/she may be disqualified from the Contest in the sole and absolute discretion of the Sponsor (in which case any or all of his/her Entries are subject to being voided by the Sponsor in its sole and absolute discretion).

The Contest Parties and each of their respective agents, employees, directors, successors, and assigns (collectively, the “Released Parties”) are not responsible for, and accept no liability whatsoever in relation to, any late, lost, misdirected, delayed, incomplete or incompatible Entries and/or Entry Materials (all of which are void).

An Entry may be rejected if, in the sole and absolute discretion of the Sponsor: (i) the Entry (including, but not limited to, any associated Entry Materials) is not submitted and received in accordance with these Rules; and/or (ii) the Entry Materials accompanying an Entry are not in full compliance with these Rules (including, but not limited to, the specific Submission Requirements listed below in Rule 7) (all as determined by Sponsor in its sole and absolute discretion).

6. VERIFICATION:

All Entries, Entry Materials and entrants are subject to verification at any time and for any reason. The Sponsor reserves the right, in its sole and absolute discretion, to require proof of identity and/or eligibility (in a form acceptable to the Sponsor – including, without limitation, government issued photo identification): (i) for the purposes of verifying an individual’s eligibility to participate in this Contest; (ii) for the purposes of verifying the eligibility and/or legitimacy of any Entry, Entry Materials and/or other information entered (or purportedly entered) for the purposes of this Contest; and/or (iii) for any other reason the Sponsor deems necessary, in its sole and absolute discretion, for the purposes of administering this Contest in accordance with the Sponsor’s interpretation of the letter and spirit of these Rules. Failure to provide such proof to the complete satisfaction of the Sponsor within the timeline specified by the Sponsor may result in disqualification in the sole and absolute discretion of the Sponsor. The sole determinant of the time for the purposes of this Contest will be the official time-keeping device(s) of the Sponsor.

7. SUBMISSION REQUIREMENTS:

BY SUBMITTING AN ENTRY, YOU AGREE THAT THE ENTRY (AND EACH INDIVIDUAL COMPONENT THEREOF – INCLUDING, WITHOUT LIMITATION, THE ENTRY MATERIALS) COMPLIES WITH ALL CONDITIONS STATED IN THESE RULES. THE RELEASED PARTIES WILL BEAR NO LIABILITY WHATSOEVER REGARDING: (I) THE USE OF YOUR ENTRY (OR ANY COMPONENT THEREOF – INCLUDING, WITHOUT LIMITATION, THE ENTRY MATERIALS); (II) PARTICIPATION IN ANY CONTEST-RELATED ACTIVITIES; AND/OR (III) ANY USE, COLLECTION, STORAGE AND DISCLOSURE OF ANY PERSONAL INFORMATION. THE RELEASED PARTIES SHALL BE HELD HARMLESS BY YOU IN THE EVENT IT IS DISCOVERED THAT YOU HAVE DEPARTED FROM OR NOT OTHERWISE FULLY COMPLIED WITH ANY OF THESE RULES. THIS RELEASE AND INDEMNITY SHALL CONTINUE IN FORCE FOLLOWING THE TERMINATION OF THE CONTEST AND/OR AWARDING OF ANY PRIZES.

By participating in the Contest, each entrant hereby warrants and represents that any Entry Materials he/she submits:

are original to him/her and that the entrant has obtained all necessary rights in and to the Entry Materials for the purposes of entering such Entry Materials in the Contest;

do not violate any law, statute, ordinance or regulation;

do not contain any reference to or likeness of any identifiable third parties, unless consent has been obtained from all such individuals and their parent/legal guardian if they are under the age of majority in their jurisdiction of residence;

will not give rise to any claims whatsoever, including, without limitation, claims of infringement, invasion of privacy or publicity, or infringe on any rights and/or interests of any third party; and

are not defamatory, trade libelous, pornographic or obscene, and further that they will not contain, depict, include, discuss or otherwise involve, without limitation, any of the following: nudity; alcohol/drug consumption or smoking; explicit or graphic sexual activity, or sexual innuendo; crude, vulgar or offensive language and/or symbols; derogatory characterizations of any ethnic, racial, sexual, religious or other groups (including, without limitation, any competitors of Sponsor); content that endorses, condones and/or discusses any illegal, inappropriate or risky behaviour or conduct; personal information of individuals, including, without limitation, names, telephone numbers and addresses (physical or electronic); commercial messages, comparisons or solicitations for products or services other than products of Sponsor; conduct or other activities in violation of these Rules; and/or any other materials that are or could be considered inappropriate, unsuitable or offensive, all as determined by the Sponsor in its sole and absolute discretion.

The Sponsor and/or its promotional agency or designated content moderator (the “Reviewer”) reserves the right to screen all Entry Materials. Any Entry Materials that the Reviewer deems, in its sole and absolute discretion, to violate the terms and conditions set forth in these Rules are subject to disqualification. The Reviewer reserves the right, in its sole and absolute discretion at any time and for any reason, to remove any Entry Materials (or any part thereof) and/or to request an entrant to modify, edit and/or re-submit his or her Entry Materials (or any part thereof) in order to ensure that the Entry Materials comply with these Rules, or for any other reason. If such an action is necessary at any point during or after the Contest, then the Sponsor reserves the right, in its sole discretion, to take whatever action it deems necessary based on the circumstances – including, without limitation, disqualifying the Entry Materials (and therefore the corresponding Entry and/or the associated entrant) – to help ensure that the Contest is being conducted in accordance with the Sponsor’s interpretation of the letter and spirit of these Rules.

8. LICENSE:

By entering the Contest and submitting an Entry, each entrant: (i) grants to the Sponsor, in perpetuity, a non-exclusive license to publish, display, reproduce, modify, edit or otherwise use his/her Entry Materials (and each component thereof), in whole or in part, for advertising or promoting the Contest or for any other reason; (ii) waives all moral rights in and to his/her Entry Materials (and each component thereof) in favour of the Sponsor (and anyone authorized by the Sponsor to use such Entry Materials); and (iii) agrees to release and hold harmless the Released Parties from and against any and all claims, damages, liabilities, costs, and expenses arising from use of his/her Entry Materials (or any component thereof), including, without limitation, any claim based on publicity rights, defamation, invasion of privacy, copyright infringement, trade-mark infringement or any other intellectual property related or other cause of action whatsoever.

By entering the Contest and submitting an Entry, you hereby in its sole and absolute discretion acknowledge and agree that: (i) Sponsor is not considering your Entry Materials in confidence and that Sponsor may disclose your Entry Materials in accordance with the terms and conditions of these Rules; (ii) Sponsor is not, and will not be, bound by any confidentiality obligations, unless specifically stated in a written and signed agreement executed between you and Sponsor; (iii) Sponsor is not admitting that your Entry Materials are novel, proprietary or original; (iv) any Entry Materials that you submit to Sponsor may be similar or identical to projects, products, ideas, or other materials that Sponsor may already be aware of and/or developed or in the process of developing; and (v) Sponsor is not, and will not be, under any obligation with respect to your Entry Materials, including, but not limited to, to pay you any compensation or otherwise provide any funding or other form of investment, unless specifically stated in a written and signed agreement executed between you and Sponsor.

9. PRIZES:

The following Prizes (each, a “Prize” and collectively the “Prizes”) available to be won:

Finalist Prizes: Each confirmed Finalist (as defined below in Rule 11) will receive one (1) Finalist Prize (each, a “Finalist Prize”). Each Finalist Prize consists of a trip for the confirmed Finalist to Winnipeg, Manitoba to compete in the Competition (as defined below in Rule 12) – which, includes: (i) round trip airfare (economy class) for the confirmed Finalist to Winnipeg, Manitoba from a Canadian airport near the confirmed Finalist’s place of residence (as determined by Sponsor in its sole and absolute discretion); (ii) accommodation for the confirmed Finalist in a Princess Auto in-house facility (occupancy to be determined by Sponsor in its sole and absolute discretion); and (iii) certain food and/or meals. Each Finalist Prize has an approximate retail value of $3000 CAD.

Competition Prizes: During the Competition (as defined below in Rule 12), there will be [eleven] (11) Competition Prizes (the “Competition Prizes”) awarded in addition to the Grand Prize (see below). The total approximate retail value of the Competition Prizes is $[5000] CAD. The details relating to the Competition Prizes will be set-out in the Competition Terms (as defined below in Rule 12) – which, will be made available to Finalists prior to competing in the Competition.

Grand Prize: There will be one (1) Grand Prize (the “Grand Prize”) available to be won consisting of: (i) $25,000 CAD (to be awarded in the form of a cheque payable in the name of the confirmed winner); (ii) a trophy; and (iii) the opportunity (as the sole and absolute discretion of the Sponsor) to appear on the 2019 version of the Princess Auto product catalogue. The total approximate retail value of the Grand Prize is $25,000 CAD.

Each Prize must be accepted as awarded and is not transferable or assignable (except as may be specifically permitted by Sponsor in its sole and absolute discretion). No substitutions are permitted, except at Sponsor’s option. Sponsor reserves the right, in its sole and absolute discretion, to substitute a Prize or a component thereof with a prize of equal or greater retail value.

Without limiting the generality of the foregoing, the following conditions apply to each Finalist Prize: (i) all travel related to the Finalist Prize must occur within and/or on or before the date or dates specified by the Sponsor (currently August 13 to August 26, 2018) (otherwise the Finalist Prize may, in the sole and absolute discretion of the Sponsor, be forfeited in its entirety and, if forfeited, nothing will be substituted in its place); (ii) the confirmed Finalist must have all necessary documentation to permit travel; (iii) the costs of everything not specifically and expressly stated above as included in the Finalist Prize description are the sole and absolute responsibility of the confirmed Finalist (NOTE: confirmed Finalist may be required to present a valid major credit card in his/her name at the time of hotel check-in to cover any incidental expenses); (iv) if the confirmed Finalist does not utilize any part(s) of the Finalist Prize, then any such part(s) not utilized may, in the sole and absolute discretion of the Sponsor, be forfeited in their entirety and, if forfeited, nothing will be substituted in their place; (v) Sponsor reserves the right at any time to: (a) place reasonable restrictions on the availability or use of the Finalist Prize or any component thereof; and (b) substitute the Finalist Prize or a component thereof for any reason with a prize or prize component(s) of equal or greater retail value, including, without limitation, but solely at the Sponsor’s sole discretion, a cash award; and (vi) all travel arrangements relating to the Finalist Prize must be made through the Sponsor or its designated agents. IMPORTANT NOTE: In the event that a confirmed Finalist Prize winner resides within a one hundred and fifty (150) km radius of Winnipeg, Manitoba (as determined by Sponsor in its sole and absolute discretion), the Sponsor will determine, in its sole and absolute discretion, whether or not the Finalist Prize will include airline travel, another form of transportation to and from Winnipeg, or reimbursement for certain incurred fuel costs. All decisions of the Sponsor in this regard will be final and binding without right of appeal.

None of the Released Parties makes any representation or offers any warranty, express or implied, as to the quality or fitness of any Prize awarded in connection with the Contest. To the fullest extent permitted by applicable law, each confirmed winner of a Prize understands and acknowledges that he or she may not seek reimbursement or pursue any legal or equitable remedy from either the Sponsor or any of the other Released Parties should his/her Prize fail to be fit for its purpose or is in any way unsatisfactory. For greater certainty and the avoidance of any doubt, by accepting a Prize, each confirmed winner agrees to waive all recourse against the Sponsor and all of the other Released Parties if his/her Prize or a component thereof does not prove satisfactory, either in whole or in part.

10. STAGE 1: SEMI-FINALIST SELECTION (JUDGING) – SELECTION OF TWENTY (20) SEMI-FINALISTS:

A panel of judges (the “Contest Judges”) appointed by the Sponsor will judge each eligible Entry on the basis of the following weighted criteria:

Each Entry will be given a score (the “Score”) by the Contest Judges. Odds of being selected as an eligible semi-finalist depend on the number and calibre of eligible Entries submitted and received during the Submission Period in accordance with these Rules. The twenty (20) eligible entrants associated with the top twenty (20) eligible Entries based on Score (as determined by the Contest Judges, in their sole and absolute discretion) will each be selected as an eligible semi-finalist. In the event of a tie between two or more eligible Entries based on Score that would result in the selection of more than twenty (20) eligible semi-finalists, the eligible entrant associated with the eligible Entry – from amongst all such eligible Entries that are tied – with the highest score on Criteria 1 (followed in the event of a further tie by Criteria 2, then Criteria 3, then Criteria 4, then Criteria 5) will be selected as an eligible semi-finalist. In the event of an exact tie based on criteria 1, 2, 3, 4 and 5, a new panel of judges will be appointed by the Sponsor to break the tie in accordance with the preceding procedure. Judging is scheduled to be completed on or about May 14, 2018 (the “Semi-Finalist Selection Date”).

The Sponsor or its designated representative will make a minimum of three (3) attempts to contact each eligible semi-finalist within five (5) business days of the Semi-Finalist Selection Date. If an eligible semi-finalist cannot be contacted as outlined above, or if there is a return of any notification as undeliverable; then he/she may, in the sole and absolute discretion of the Sponsor, be disqualified (and, if disqualified, will forfeit all rights to be an eligible semi-finalist) and the Sponsor reserves the right, in its sole and absolute discretion and time permitting, to select an alternate eligible entrant from among the remaining eligible Entries submitted and received during the Submission Period in accordance with the applicable procedures outlined above (in which case the foregoing provisions of this section shall apply to such newly selected eligible semi-finalist).

NO ONE IS A SEMI-FINALIST UNLESS AND UNTIL THE SPONSOR OFFICIALLY CONFIRMS HIM/HER AS A SEMI-FINALIST IN ACCORDANCE WITH THESE RULES, EVEN IF SUCH PERSON IS ANNOUNCED AS AN ELIGIBLE SEMI-FINALIST. BEFORE BEING DECLARED AS A CONFIRMED SEMI-FINALIST (each, a “Semi-Finalist”), each eligible semi-finalist will be required to sign and return within two (2) business days of notification the Sponsor’s declaration and release form, which (among other things): (i) confirms compliance with these Rules; (ii) releases the Released Parties from any and all liability in connection with this Contest and his/her participation therein; and (v) agrees to the publication, reproduction and/or other use of his/her name, address, voice, statements about the Contest and/or photograph or other likeness without further notice or compensation, in any publicity or advertisement carried out by or on behalf of the Sponsor in any manner or medium whatsoever, including print, broadcast or the internet (except where prohibited by law).

An entrant can be a Semi-Finalist only one (1) time in this Contest.

If an eligible Semi-Finalist: (a) fails to return the properly executed Contest documents within the specified time; (b) cannot be (or is unwilling to be) a Semi-Finalist for any reason; (c) fails to fully comply with all requirements contemplated in these Rules; and/or (d) is determined to be in violation of these Rules (all as determined by the Sponsor in its sole and absolute discretion); then he/she will be disqualified (and will forfeit all rights to be an eligible semi-finalist) and the Sponsor reserves the right, in its sole and absolute discretion and time permitting, to select an alternate eligible entrant from among the remaining eligible Entries submitted and received during the Submission Period in accordance with the applicable procedures outlined above (in which case the foregoing provisions of this section shall apply to such newly selected eligible semi-finalist).

11. STAGE 2: FINALIST SELECTION (PUBLIC VOTING) – SELECTION OF FIVE (5) FINALISTS:

During the Online Voting Period, the Entry of each confirmed Semi-Finalist will be posted on the Website. Members of the public will be able to visit the Website and vote (each, a “Vote” and collectively, the “Votes”) for their favourite Entry and/or Entries.

LIMIT: There is a strict limit of one (1) Vote per person, per day (defined for the purposes of these rules as 12:00:00 am CT to 11:59:59 p.m. CT). For the avoidance of any doubt, this means that the same person cannot submit more than one (1) vote per day (as defined above).

If it is discovered by the Sponsor (using any evidence or other information made available to or otherwise discovered by the Sponsor) that attempts were made by anyone to: (i) submit more than one (1) Vote per person, per day (as defined above); (ii) use multiple names, multiple identities, multiple email addresses, any automated, macro, script, robotic or other system(s) or program(s), and/or any other means not in keeping with the Sponsor’s interpretation of the letter and spirit of these Rules to submit or attempt to submit Votes; (iii) engage in any form of systematic voting from the same computer/IP address; and/or (iv) engage in any form of proxy voting scheme; then it may result in the disqualification, in the sole and absolute discretion of the Sponsor, of the Votes, Entry and/or Semi-Finalist to which such Votes relate. Any Votes determined by Sponsor, in its sole and absolute discretion, to be in violation of the Sponsor’s interpretation of the letter and/or spirit of these Rules (including, without limitation, Votes that cannot be validated in accordance with these Rules to the complete satisfaction of Sponsor) are subject to disqualification in the sole and absolute discretion of the Sponsor.

All Votes are subject to verification at any time and for any reason. The Sponsor reserves the right, in its sole and absolute discretion, to require proof (in a form acceptable to the Sponsor): (i) for the purposes of verifying the eligibility and/or legitimacy of any Vote or other information entered (or purportedly entered) for the purposes of this Contest; and/or (ii) for any other reason the Sponsor deems necessary, in its sole and absolute discretion, for the purposes of administering this Contest in accordance with the Sponsor’s interpretation of the letter and spirit of these Rules. Failure to provide such proof to the complete satisfaction of the Sponsor within the timeline specified by the Sponsor may result in disqualification of the applicable Votes, Entry and/or Semi-Finalist to which such Votes relate that cannot be verified to the complete satisfaction of the Sponsor.

IMPORTANT NOTE: Individuals may encourage others to vote for an Entry (e.g. via various social media sites and platforms); however, no form of incentive, inducement (including, without limitation, reciprocal voting sites and/or services), prize or chance of receiving any incentive, inducement, or prize may be offered as part of such encouragement in furtherance of receiving such individual’s Vote for any Entry. In addition, proxy voting schemes (or anything reasonably resembling a proxy voting scheme, as determined by Sponsor in its sole and absolute discretion) are hereby expressly prohibited. Any individual determined by the Sponsor and/or its representative(s) to be engaging in any such behaviours and/or in violation of the Sponsor’s interpretation of the letter and/or spirit of these Rules (all as determined in the sole and absolute discretion of the Sponsor) will be disqualified, and the corresponding Votes, Entry and/or Semi-Finalist to which such Votes relate is/are subject to disqualification in the sole and absolute discretion of the Sponsor.

IMPORTANT NOTE: JUST BECAUSE A NUMBER OF VOTES MAY APPEAR ON A CONTEST LEADERBOARD OR OTHERWISE DOES NOT MEAN THAT THE SEMI-FINALIST ASSOCIATED WITH THOSE VOTES IS OR WILL BE A FINALIST. ANY OR ALL VOTES MAY BE VERIFIED BY THE SPONSOR IN ITS SOLE AND ABSOLUTE DISCRETION AT ANY TIME AND FOR ANY REASON. ANY SUCH PUBLIC DISPLAY OF VOTES IS FOR ENTERTAINMENT PROPOSES ONLY. ONLY THE SPONSOR CAN DEEM AN ENTRANT TO BE AN ELIGIBLE FINALIST.

On June 18, 2018 (the “Finalist Selection Date”) in Winnipeg, Manitoba at approximately 8:00 a.m. CT, the Sponsor will tabulate the final number of eligible Votes and the five (5) Semi-Finalists associated with the eligible Entries that received the top five (5) highest number of eligible Votes during the Online Voting Period (as determined by the Sponsor in its sole and absolute discretion) will each be selected as an eligible finalist. Odds of being selected as an eligible finalist depend on the number of eligible Votes submitted and received during the Online Voting Period.

In the event of a tie between two or more Semi-Finalist Entries based on the number of eligible Votes that would result in the selection of more than five (5) eligible finalists, the Sponsor will hold a random draw – from amongst all such eligible Entries that are tied – to break the tie.

NO ONE IS A FINALIST UNLESS AND UNTIL THE SPONSOR OFFICIALLY CONFIRMS HIM/HER AS A FINALIST IN ACCORDANCE WITH THESE RULES, EVEN IF SUCH PERSON IS ANNOUNCED AS AN ELIGIBLE FINALIST. BEFORE BEING DECLARED AS A CONFIRMED FINALIST (each, a “Finalist”), each eligible finalist will be required to correctly answer a mathematical skill-testing question without mechanical or other aid (which may, in the sole and absolute discretion of the Sponsor, be administered online, by email or other electronic means, by telephone, or in the Sponsor’s form of declaration and release). In addition, each Finalist will be required to sign and return the Sponsor’s release form prior to participating in the Finalist Prize.

If an eligible finalist: (a) fails to return the properly executed Contest documents within the specified time; (b) fails to correctly answer a mathematical skill-testing question; (c) cannot be (or is unwilling to be) a Finalist for any reason; (d) fails to fully comply with all requirements contemplated in these Rules; and/or (e) is determined to be in violation of these Rules (all as determined by the Sponsor in its sole and absolute discretion); then he/she will be disqualified (and will forfeit all rights to be an eligible finalist) and the Sponsor reserves the right, in its sole and absolute discretion and time permitting, to select an alternate eligible entrant from among the remaining eligible Semi-Finalists in accordance with the applicable procedures outlined above (in which case the foregoing provisions of this section shall apply to such newly selected eligible finalist).

Each confirmed Finalist will receive one (1) Finalist Prize.

12. STAGE 3: GRAND PRIZE WINNER SELECTION (COMPETITION) – SELECTION OF ONE (1) GRAND PRIZE WINNER:

During the Competition Period, each confirmed Finalist will be required to participate in an elimination style head-to-head competition (the “Competition”) in Winnipeg, Manitoba – which, will include certain head-to-head competition challenges designed to test each Finalist’s ability to plan, build and solve a variety of projects. The terms and conditions of the Competition (the “Competition Terms”) will be made available to Finalists prior to competing in the Competition. During the Competition, the Competition Prizes will be awarded in accordance with the Competition Terms. In addition, one (1) Finalist will be declared the winner of the Grand Prize in accordance with the Competition Terms.

13. GENERAL CONDITIONS:

This Contest is subject to all applicable federal, provincial and municipal laws. The decisions of the Sponsor with respect to all aspects of this Contest are final and binding on all entrants without right of appeal.

ANYONE DEEMED BY THE SPONSOR TO BE IN VIOLATION OF THE SPONSOR’S INTERPRETATION OF THE LETTER AND/OR SPIRIT OF THESE RULES FOR ANY REASON IS SUBJECT TO DISQUALIFICATION IN THE SOLE AND ABSOLUTE DISCRETION OF THE SPONSOR AT ANY TIME.

The Released Parties will not be liable for: (i) any failure of the Website or any other website or platform during the Contest; (ii) any technical malfunction or other problems of any nature whatsoever, including, without limitation, those relating to the telephone network or lines, computer on-line systems, servers, access providers, computer equipment or software; (iii) the failure of any Entry, Entry Materials, Vote and/or other information to be received, captured or recorded for any reason whatsoever, including, but not limited to, technical problems or traffic congestion on the internet or at any website; (iv) any injury or damage to an entrant’s or any other person’s computer or other device related to or resulting from participating in the Contest; (v) anyone being incorrectly and/or mistakenly identified as a winner or eligible winner; and/or (vi) any combination of the above.

The Sponsor reserves the right, in its sole and absolute discretion, to withdraw, amend or suspend this Contest (or to amend these Rules) in any way, in the event of any cause beyond the reasonable control of the Sponsor that interferes with the proper conduct of this Contest as contemplated by these Rules, including, without limitation, any error, problem, computer virus, bugs, tampering, unauthorized intervention, fraud or failure of any kind whatsoever. Any attempt to undermine the legitimate operation of this Contest in any way (as determined by Sponsor in its sole and absolute discretion) may be a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek remedies and damages to the fullest extent permitted by law. The Sponsor reserves the right, in its sole and absolute discretion, to cancel, amend or suspend this Contest, or to amend these Rules, in any way without prior notice or obligation, in the event of any accident, printing, administrative, or other error of any kind, or for any other reason whatsoever. The Sponsor reserves the right, in its sole and absolute discretion, to administer an alternate test of skill as it deems appropriate based on the circumstances and/or to comply with applicable law.

By entering this Contest, each entrant expressly consents to the Sponsor, its agents and/or representatives, storing, sharing and using the personal information submitted only for the purpose of administering the Contest and in accordance with Sponsor’s privacy policy (https://www.princessauto.com/en/about-us/privacy-policy). This section does not limit any other consent(s) that an individual may provide the Sponsor or others in relation to the collection, use and/or disclosure of their personal information.

The Sponsor reserves the right, in its sole and absolute discretion, to adjust any of the dates, timeframes and/or other Contest mechanics stipulated in these Rules, to the extent deemed necessary by Sponsor, for purposes of verifying compliance by any entrant, Entry, Entry Materials, Vote and/or other information with these Rules, or as a result of any technical or other problems, or in light of any other circumstances which, in the opinion of the Sponsor, in its sole and absolute discretion, affect the proper administration of the Contest as contemplated in these Rules, or for any other reason.

In the event of any discrepancy or inconsistency between the terms and conditions of these Rules and disclosures or other statements contained in any Contest-related materials, including, but not limited to, point of sale, television, print or online advertising and/or any instructions or interpretations of these Rules given by any representative of the Sponsor, the terms and conditions of these Rules shall prevail, govern and control to the fullest extent permitted by law.

The invalidity or unenforceability of any provision of these Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Rules shall otherwise remain in effect and shall be construed in accordance with the terms as if the invalid or illegal provision were not contained herein
