GRAND PRIZE CONTEST PERIOD

The Grand Prize Contest (hereafter “Grand Prize Contest”) is organized by Catelli Foods Corporation, hereafter called the “Organizer”. The Grand Prize Contest starts on September 18, 2017 and ends on November 16, 2017 at 11:59:59 PM (ET). All entries must be received by 11:59:59 PM ET on November 16, 2017 (the “Entry Submission Closing Time”). Entries submitted after the Entry Submission Closing Time will not be accepted. Any reference to time in the Grand Prize Contest Rules indicates Eastern Time (ET).

ELIGIBILITY

The Grand Prize Contest is open to all legal residents of Canada, eighteen (18) years of age and above by the start date of the Grand Prize Contest, with the exception of the employees of the Grand Prize Contest Sponsor, the Administrator, and each of their respective parents, subsidiaries, affiliates and related companies, representatives, agents, advertising or promotion agencies, Grand Prize Contest prize suppliers, any other companies engaged in the development, production or distribution of materials for this Grand Prize Contest (collectively, the “Grand Prize Contest Parties”), and members of their immediate families (defined as spouse, parent, child, sibling, grandparent, regardless of where they live), or persons domiciled with (whether related or not), of any of the above.

HOW TO ENTER

For a chance to win The Grand Prize, participants must visit www.olivieri.ca/en and go to the Grand Prize Contest page. Scroll down to “Enter for your chance to win $6000” and complete the electronic entry form (hereafter the “Entry Form”) by filling out all required fields. Entrants must also confirm that they have read the Grand Prize Contest Rules and Regulations and click “Submit your entry.” They will then be entered in the Grand Prize Contest. They can enter the Grand Prize Contest until November 16, 2017 at 11:59:59 PM (ET). There is a limit of one (1) Entry per person and per email address. Only one (1) email address may be used by any person to participate in the Grand Prize Contest.

All entries must be complete to be eligible, under the Grand Prize Contest specific rules.

Duplication or any attempts or suspected attempts, as determined in the sole discretion by the Grand Prize Contest Sponsor, to exceed the maximum number of Entries or accounts per person or per email address is a violation of these Rules and may result in disqualification and forfeiting of any prize. Entrant must not create false identities, or impersonate any person or entity, or falsely state or otherwise misrepresent an affiliation with any perso n or entity. All Entries must be received by the date and time indicated in Rules.

No purchase necessary to enter the Grand Prize Contest. Although online access, a facebook and email account are required in order to participate in the Grand Prize Contest, no purchase is required.

PRIZES AND DRAW

One (1) Winner will be awarded with The Grand Prize. There is one (1) Grand Prize, that consists of a $6,000 cash prize, to be awarded in the form of a cheque (the “Prize”). The prize must be accepted as awarded and cannot be substituted, transferred or exchanged, except at the sole and absolute discretion of the Grand Prize Contest Sponsor, which may award a substitute prize of equal or greater value. Cheque will be issued in Canadian dollars. All Prize details are at the Grand Prize Contest Sponsor’s sole discretion.

On November 21, 2017 at 2:00 PM ET at 4810 Jean-Talon W, #203, Montréal, QC, one (1) entry will be randomly drawn from among all eligible entries received during the Grand Prize Contest Period. The odds of winning depend on the total number of eligible entries received during the Grand Prize Contest Period.

No responsibility is assumed by the Grand Prize Contest Group (as defined herein) for any inability for a potential entrant to successfully enter any draw for any reason. The Grand Prize Contest Group is not responsible for late, lost, damaged, misdirected, mutilated, garbled, illegible or incomplete entries. Proof of transmission (e.g. screenshots) and/or mailing does not constitute proof of delivery.

By accepting prize, Winner agrees to hold Organizer, its respective directors, officers, employees, partners and assigns, harmless against any and all claims and liability arising out of use of prize or by participation in this Grand Prize Contest. WINNER NOTIFICATION:

Winners will be notified of their win/prize by email and/or phone within five (5) calendar days following the draw. The potential Winner must send a reply email to the sender acknowledging receipt of the email and acceptance of the prize within five (5) calendar days following the draw (the “Notification”). To be declared the Winner, the selected potential entrant must first correctly answer a mathematical skill-testing question and may be required to sign and return, within a stipulated period of time, a Declaration of Compliance with the Rules and a full Liability and Publicity Release form. If a potential Winner cannot be reached within five (5) calendar days following the Winner selection, incorrectly answers the mathematical skill-testing question administered, declines the prize, fails to return a declaration of compliance in the stipulated period of time or otherwise does not comply with these Rules, he/she will be disqualified, will not win any prize and another entrant may be selected.

The prize winner will be publically announced via Olivieri’s social media channels upon prize acceptance.

SUBMISSION DEADLINES:

Final Grand Prize Contest Entry deadline to be eligible for the Grand Prize Contest is 11:59:59 PM ET, on November 16, 2017.

PUBLICITY:

By entering this Grand Prize Contest, Winner agrees to be governed by these Rules, and agrees to have his/her name, city and province of residence and story published on the Organizer’s website, social channels and in a video, all of which may be promoted via any and all social media channels, including but not limited to Facebook, Twitter, Pinterest and Instagram, without compensation related to this promotion. Winner further agrees to allow the Organizer to use his/her name, address (city and province only), submissions and photograph without compensation for advertising or other purposes worldwide, in any and all media now known or hereafter devised, including the Internet, without compensation related to this Grand Prize Contest.

GENERAL TERMS AND CONDITIONS

To be declared a Winner, the entrants must respect the entry and eligibility conditions stipulated in the Grand Prize Contest Rules. Failure to respect one (1) or several of these conditions means the Winner will be disqualified and another entrant will be selected by the Judging Panel.

The Organizer will contact The Grand Prize winner by telephone and/or e-mail. In the event that the Organizer cannot contact a selected entrant for whatever reason within five (5) calendar days following the selection, the Grand Prize Contest organizer may select an alternative winner.

To claim the prize, the winner must fill in and sign a declaration of compliance and a full liability release (hereafter “Form”), which will include a mathematical skill testing question, that will be sent to him/her by e-mail by the Organizer and return it filled in and signed within five (5) days of sending date. In the event that the Form is not accurately completed, signed and returned within the time limit, the Organizer reserves the right, at its sole discretion, to conduct or not as many draws as necessary to award the Prizes.

Upon receipt of the Form, the Organizer will inform the winner by e-mail and/or by phone of all the details related to how they will receive the Prize.

In the event that it is not possible to deliver the Prize to the Winner, for whatever reason, it shall become null and void, unless Organizer, in its sole discretion, agrees to deliver the prize. Organizer reserves the right to modify or cancel the Grand Prize Contest without advance notice, subject to having obtained any required approval from Quebec’s Régie des alcools, des courses et des jeux.

The Organizer, its respective companies and divisions and any other moral person of its corporate group, its affiliated distributors, advertising and promotional agencies and their respective shareholders, administrators, executives, employees and agents, as well as any contributor to the Grand Prize Contest (hereafter called “Release Recipients”) are not responsible for matters regarding the Prize or the Grand Prize Contest and provide no guarantee for either.

The Grand Prize must be accepted as awarded and cannot be transferred without the prior written agreement of the Organizer, substituted with another prize or exchanged in whole or in part for money. Should the Organizer for reasons out of its control and not related to the Winner, not be able to deliver the any of the prizes previously mentioned, as described in the Grand Prize Contest Rules, the Organizer reserves the right to award a similar prize (or a portion of the prize) of equal value.

The Organizer shall not be held liable in any case where its inability to act results from a fact or situation beyond his control or from a strike, lock-out or any other labour dispute in its facilities or in the facilities of the organizations or companies whose services are used in the course of holding this Grand Prize Contest.

By accepting a Prize, the Winner authorizes the Catelli Food Corporation, if required, to use his/her name, photograph, place of residence, story, Grand Prize Contest submission, voice, image and likeness and (or) declaration regarding the Prizes for advertising or publicity purposes without any form of remuneration the Organizer may conduct relating to the Grand Prize Contest in any media or format, whether now known or hereafter developed, including, but not limited to the World Wide Web, at any time or times in perpetuity.

The Release Recipients shall not incur any responsibility for incomplete or incomprehensible names and addresses from entrants. The Organizer reserves the right to reject any Entry Form that is incomplete, or that contains a human or mechanical error and to proceed with the selection of another Entry Form.

Any Entry Form and any attempt at entering using electronic, computer or other means which are contrary to the spirit of the Grand Prize Contest or to the Grand Prize Contest Rules (e.g. computer pirating, mass emailing, etc.) will be automatically rejected and may be referred over to the appropriate judicial authorities. Any automated entries will be noticed and rejected.

The Release Recipients are not in any way responsible for any problem including, but without being limited to, the technical malfunction of any telephone network or lines, any other problem resulting directly or indirectly in a virus, bug or technical failure following the sending of e-mails to the Organizer for any reason including, but without being limited to, traffic congestion on the Internet network or on the website or a combination of both. Organizer and Release Recipients are not responsible for any damage done to computer equipment following entering the Grand Prize Contest. Organizer and other Release Recipients are not responsible for any problem that could prevent the proper conduct of the Grand Prize Contest in accordance with the rules established herein including, but without restricting the generality of the above, or the postponement of the Grand Prize Contest promotion or of the Grand Prize Contest.

The decisions made by the Organizer are final and without appeal.

DISPUTES.

RESIDENTS OF QUEBEC: Any litigation respecting the conduct or organization of a publicity Grand Prize Contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the Régie only for the purpose of helping the parties reach a settlement. Any applicable decision to be made by the Grand Prize Contest Sponsor affecting the conduct of this Grand Prize Contest are subject to a ruling of the Régie des alcools, des courses et des jeux.

RESIDENTS OF CANADA, EXCLUDING QUEBEC: All issues and questions concerning the construction, validity, interpretation and enforceability of these Rules, or the rights and obligations of entrant and the Grand Prize Contest Sponsor in connection with the Grand Prize Contest, shall be governed by, and construed in accordance with, the substantive laws of the Province of Ontario without regard to conflicts of law principles. All entrants consent to the jurisdiction and venue of the Province of Ontario.

The Grand Prize Contest Sponsor may, at its sole discretion and without liability, terminate the Grand Prize Contest in whole or in part, without notice, or modify or suspend the Grand Prize Contest at any time, subject to the approval of the Régie des alcools, des courses et des jeux with respect to the province of Quebec, if fraud, technical failures, including any network server or hardware failure, viruses, bugs, errors in programming, or communications or any other errors or other causes beyond the control of the Grand Prize Contest Sponsor corrupt the administration, integrity or security of the Grand Prize Contest or if any other factor interferes with the conduct of this Grand Prize Contest as contemplated by these Rules. In no event will the number of prizes awarded exceed the available number of prizes as specified in these Rules.

The Grand Prize Contest Parties are not responsible for (and reserves the right, in its sole discretion, to correct) typographical or other errors in the offer or administration of this Grand Prize Contest, including but not limited to, errors in advertising, the Rules, the selection and announcement of winners, distribution of the prizes or technical malfunctions of telephone network lines, computer online systems, servers or providers, computer equipment or software, viruses, bugs, failure of personal computers and/or software and hardware configurations, or failure of any email to be received by the Grand Prize Contest Sponsor or a participant for any reason including but not limited to traffic congestion on the Internet or at any website or combination thereof. The Grand Prize Contest Parties are not responsible for damage to a user’s system occasioned by participation in this Grand Prize Contest or downloading any information necessary to participate in this Grand Prize Contest. The Grand Prize Contest Parties do not warrant that access to or use of the Grand Prize Contest will be uninterrupted or error-free.

All issues and questions concerning the construction, validity, interpretation and enforceability of these Rules, or the rights and obligations of entrant and the Grand Prize Contest Sponsor in connection with the Grand Prize Contest, shall be governed by, and construed in accordance with, the substantive laws of the Province of Ontario without regard to Ontario conflicts of law principles. All entrants consent to the jurisdiction and venue of the Province of Ontario. The Grand Prize Contest Sponsor’s failure to enforce any term of these Rules shall not constitute a waiver of that provision. The invalidity or unenforceability of any provision of these Rules shall not affect the validity or enforceability of any other provision. If any provision of the Rules is determined to be invalid or otherwise unenforceable, then the Rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein.

In case of incompatibility between the English and the French version or any discrepancy or inconsistency between the terms and conditions of these English language Rules and disclosures or other statements contained in any Grand Prize Contest-related materials, including, but not limited to: the Release, and/or point of sale, print or online advertising; the terms and conditions of these English language Rules shall prevail, govern and control.

All daily Facebook contest entries must be received from 9 AM (ET) and 9 PM (ET) on the day of the specific Facebook contest the participant wish to register for (the “Entry Submission Closing Time”). Daily Facebook contests consist of sixty (60) days of Facebook contest, one (1) prize per day for a total of sixty (60) daily prizes. The Facebook contest starts at 9 AM (ET), the day the post is published and ends at 9 PM (ET), the same day the post is published. The first day of the Facebook contest is September 18, 2017 and the last day is November 16, 2017. To enter the daily Facebook contest, participants will have to go on the Olivieri Facebook page and simply like or comment on the specific post related to the 60 days of fresh games, recipes, tips and memories contest the participants would like to enter. By doing so, you will be automatically entered for the draw of the Facebook contest for that specific day, for the chance to win the predetermined daily prize on www.olivieri.ca/en website. By liking or commenting the daily facebook post, you confirm that you are eligible to participate according to these Rules. Each entrant must only use one facebook account (which must be valid) to enter the daily Facebook contest once a day. It is important to highlight that one (1) entry to one (1) of the sixty (60) Facebook contests does not automatically register you to all sixty (60) daily Facebook contests. Therefore, each entrant must register for each individual daily Facebook contest, among the sixty (60) Facebook contests, depending on the entrant’s preferences on which specific Facebook contest the entrant would like to register in.

The odds of winning depend on the total number of eligible entries received each day of the Facebook daily Facebook contest.

The Organizer reserves the right, at its sole discretion, to replace any prizes with another of a comparable value if it is not possible to award it to the Winner(s) as described in paragraph 4 A-F above for any reason.

The Release Recipients are not in any way responsible for any problem including, but without being limited to, the technical malfunction of any telephone network or lines, any other problem resulting directly or indirectly in a virus, bug or technical failure following the sending of e-mails to the Organizer for any reason including, but without being limited to, traffic congestion on the Internet network or on the website or a combination of both. Organizer and Release Recipients are not responsible for any damage done to computer equipment following entering the Facebook contest. Organizer and other Release Recipients are not responsible for any problem that could prevent the proper conduct of the Facebook contest in accordance with the rules established herein including, but without restricting the generality of the above, or the postponement of the Facebook contest promotion or of the Facebook contest.

The decisions made by the Organizer are final and without appeal.

DISPUTES.

RESIDENTS OF QUEBEC: Any litigation respecting the conduct or organization of a publicity Facebook contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any litigation respecting the awarding of a prize may be submitted to the Régie only for the purpose of helping the parties reach a settlement. Any applicable decision to be made by the Facebook contest Sponsor affecting the conduct of this Facebook contest are subject to a ruling of the Régie des alcools, des courses et des jeux.

RESIDENTS OF CANADA, EXCLUDING QUEBEC: All issues and questions concerning the construction, validity, interpretation and enforceability of these Rules, or the rights and obligations of entrant and the Facebook contest Sponsor in connection with the Facebook contest, shall be governed by, and construed in accordance with, the substantive laws of the Province of Ontario without regard to conflicts of law principles. All entrants consent to the jurisdiction and venue of the Province of Ontario.

The Facebook contest Sponsor may, at its sole discretion and without liability, terminate the Facebook contest in whole or in part, without notice, or modify or suspend the Facebook contest at any time, subject to the approval of the Régie des alcools, des courses et des jeux with respect to the province of Quebec, if fraud, technical failures, including any network server or hardware failure, viruses, bugs, errors in programming, or communications or any other errors or other causes beyond the control of the Facebook contest Sponsor corrupt the administration, integrity or security of the Facebook contest or if any other factor interferes with the conduct of this Facebook contest as contemplated by these Rules. In no event will the number of prizes awarded exceed the available number of prizes as specified in these Rules.

The Facebook contest Parties are not responsible for (and reserves the right, in its sole discretion, to correct) typographical or other errors in the offer or administration of this Facebook contest, including but not limited to, errors in advertising, the Rules, the selection and announcement of winners, distribution of the prizes or technical malfunctions of telephone network lines, computer online systems, servers or providers, computer equipment or software, viruses, bugs, failure of personal computers and/or software and hardware configurations, or failure of any email to be received by the Facebook Contest Sponsor or a participant for any reason including but not limited to traffic congestion on the Internet or at any website or combination thereof. The Facebook Contest Parties are not responsible for damage to a user’s system occasioned by participation in this Facebook contest or downloading any information necessary to participate in this Facebook contest. The Facebook Contest Parties do not warrant that access to or use of the Facebook contest will be uninterrupted or error-free.

All issues and questions concerning the construction, validity, interpretation and enforceability of these Rules, or the rights and obligations of entrant and the Facebook contest Sponsor in connection with the Facebook contest, shall be governed by, and construed in accordance with, the substantive laws of the Province of Ontario without regard to Ontario conflicts of law principles. All entrants consent to the jurisdiction and venue of the Province of Ontario. The Facebook Contest Sponsor’s failure to enforce any term of these Rules shall not constitute a waiver of that provision. The invalidity or unenforceability of any provision of these Rules shall not affect the validity or enforceability of any other provision. If any provision of the Rules is determined to be invalid or otherwise unenforceable, then the Rules shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein.

In case of incompatibility between the English and the French version or any discrepancy or inconsistency between the terms and conditions of these English language Rules and disclosures or other statements contained in any Facebook contest-related materials, including, but not limited to: the Release, and/or point of sale, print or online advertising; the terms and conditions of these English language Rules shall prevail, govern and control.
