Official Rules (“Rules”)
1. CONTEST PERIOD
1.1 The “Win a VIP Cocktail Night” contest (the “Contest”) held by A. Lassonde Inc. (the “Sponsor”) begins on October 2, 2017 at 10:00:01 a.m. (EDT) and ends on November 27, 2017 at 3:59:59 p.m. (EST) (the “Contest Period”).
2.1 To be eligible to participate in the Contest, a participant must (i) be a natural person, (ii) be a legal resident of Canada, and (iii) have reached the age of majority in his or her province/territory at the time of registration in the Contest (a “Participant”).
2.2 Employees of the Sponsor or of its affiliates, of their representatives and agents, of the promotion agencies related to the Contest and any person with whom such person resides are not eligible to participate in the Contest as well as immediate family of any of the above, are not eligible to enter the Contest. In these Contest rules “immediate family” means husband, wife, spouse, mother, father, brother, sister, son and daughter of such an employee, agent and/or representative.
3. HOW TO ENTER
3.1 NO PURCHASE NECESSARY. To enter, a Participant must go to the contest web page available at the following address: www.oasis.ca/vipcocktailnight (the “Contest Site”) and fill an entry form in accordance with the instructions available on the Contest Site (an “Entry Form”).
3.2 The Sponsor reserves the right to request proof of identity or of eligibility to the Contest at any time and at its sole discretion. Only one (1) entry per Participant and per email address throughout the Contest Period. Limit of one (1) Grand Prize (as defined below) per Participant throughout the Contest Period. The Sponsor reserves the right, at its sole discretion, to disqualify any individual who contravenes or attempts to contravene these Rules.
3.3 Once a Participant submits an eligible Entry Form as indicated herein, he/she will have the opportunity to send a personalised link to the Contest Site to one or several friends allowing them to enter the Contest (a “Link”). Notwithstanding what is indicated in section 3.3, a Participant will be granted with two (2) additional entries to the Contest each time one of his/her friend enters the Contest using a Link. A Link can only be used one (1) time by a Participant to enter the Contest.
3.4 The Sponsor suggests that Participants who do not have Internet access inquire with public libraries or visit any other public space providing free internet in order to enter the Contest in the manner set forth in this section 3 of the Rules.
3.5 All of the fields on the Entry Form must be completed, unless the information is indicated as being optional. Any Entry Form received or submitted outside the Contest Period or on which the required information is incomplete, inaccurate or false may be declared ineligible to the Contest.
4. WINNERS SELECTION
4.1 Five (5) finalists for the Grand Prizes (as defined below) (the “Finalists”, each a “Finalist”) will be selected during a random draw among all eligible entries received in accordance with these Rules.
4.2 The draw will be held on November 28, 2017 at approximately 12:00:00 p.m. (EST) approximately at the offices of the Sponsor at 170, 5th Avenue, Rougemont, Quebec, J0L 1M0 (the “Draw”). Odds of winning a Grand Prize (as defined below) during the Draw depend on the number of eligible entries.
4.3 Each Finalist will be notified by private message via Facebook or email within thirty six (36) hours following the date he/she is selected as a Finalist. In the event a Finalist does not respond to the Facebook message or the email sent by the Sponsor’s representative within a period of thirty six (36) hours following the first contact, the Finalist will be disqualified and a second Finalist will be selected among all remaining eligible entries. In the event the Sponsor is unable to notify the second Finalist within a reasonable period or if the second Finalist does not respond to Facebook message or the email sent by the Sponsor’s representative within a period of thirty six (36) hours, such second Finalist will be disqualified and the Sponsor will have the right, at its sole discretion, to cancel the award of such Grand Prize (as defined below).
4.4 The Sponsor will send each Finalist a declaration and release form (the “Declaration and Release Form”) whereby the Finalist acknowledges and confirms that these Rules have been complied with and that the Sponsor and any organisation participating in the award of the Grand Prizes (as defined below) or the Contest and their respective employees shall have no liability for any harm, accident, loss or prejudice related to the Contest, the Grand Prizes (as defined below) or the award or use of the Grand Prizes (as defined below). The Declaration and Release Form will include a mathematical skill-testing question. Each guests (as defined below) will also have to fill and sign a Declaration and Release Form.
4.5 In order to be declared a Winner (as defined below), each Finalist must correctly answer the mathematical skill-testing question without any assistance whatsoever (including mechanical assistance) and will have to sign and return the Declaration and Release Form within forty eight (48) hours following the Finalist’s response to the Sponsor’s initial message notifying the Finalist in accordance with paragraph 4.1(c). Otherwise, the Grand Prize (as defined below) will be deemed to be forfeited by the Grand Prize (as defined below) and the Sponsor will have the right, at its sole discretion, to select another Finalist as set out in paragraph 4.1(c) or cancel the award of the Grand Prize (as defined below).
5.1 Five (5) grand prizes (the “Grand Prizes”, each a “Grand Prize”) will be awarded in this Contest. Each Grand Prize consists of:
(a) Round-trip transportation (limousine ride to go to the Venue and a taxi ride on the way back) between a pre-established meeting location and a venue of the choice of the winner and the Sponsor (the “Venue”) for an evening with friends (the “VIP Cocktail Night”);and
(b) $400.00 CAD worth of food and/or alcoholic beverages at the Venue, including gratuities.
5.2 The total approximate retail value of each Grand Prize may vary depending on the date the Grand Prize is used and on the place of residence of the Winner, but is estimated to be of $600.00 CAD, excluding applicable taxes.
5.3 Each Grand Prize winner is referred to as a “Winner” and collectively as the “Winners”.
5.4 Each Winner will be contacted by the Sponsor to choose a date and identify a Venue for the VIP Cocktail Night. Reservations are subject to availability and to the terms and conditions of the Venues. Once booked, reservations for a VIP Cocktail Night cannot be modified. Each Winner and his/her Guests must comply with applicable laws and regulations when using a Grand Prize.
5.5 In the event a Winner and the Sponsor are unable to choose a date and identify a Venue for the VIP Cocktail Night within three (3) months following the Draw, the Grand Prize will be completely cancelled. Each VIP Cocktail Night has to occur within three (3) months following the Draw, otherwise said Grand Prize will be completely cancelled. If it is impossible for a Winner and his/her Guests (as defined below) to attend a VIP Cocktail Night, the Grand Prize will be completely cancelled.
5.6 A Grand Prize Winner must choose a maximum of three (3) guests (the “Guests”) at his/her discretion to accompany him/her at the VIP Cocktail Night.
5.7 The following expenses are excluded from the Grand Prizes and are the sole responsibility of the Winner and the Guests:
(a) lodging (in the event the Winner and his/her Guests have to travel to attend the VIP Cocktail Night);and
(b) all other expenses which are not specifically included in the description of the Grand Prizes.
6. PERSONAL INFORMATION
6.1 By entering the Contest, each Participant consents to the collection, use and disclosure by the Sponsor or its authorized agents of the Participant’s personal information provided in this Contest for the purpose of carrying out the Contest and delivering the Grand Prizes.
6.2 The personal information may be transferred to third parties that are retained by the Sponsor to perform storage, management and other similar functions, subject to the laws applicable to the protection of personal information and the Sponsor’s internal policies regarding personal information. Files containing personal information will be kept at the Sponsor’s or its service provider’s offices or on their servers, and employees who require access to personal information in order to fulfil their job requirements will have access to these files. To the extent provided by applicable law, the individuals concerned may request access to the file containing their personal information and the correction of such information by contacting the Sponsor.
6.3 By accepting a Grand Prize, the Winner and his/her Guests grants the Sponsor the right to, in any way in relation with the Contest, its promotion or its organization, produce, reproduce, publish, broadcast, communicate by telecommunication, exhibit, disseminate, adapt, use and reuse his or her name, address (city, province), voice, declarations, image, photos or other representations or recordings for publicity purposes using any media and in any format, including, without limitation, on the Internet, without any notice or compensation, and the Winner and his/her Guests may be required to sign a document to this effect.
7.1 The Sponsor reserves the right to cancel any incomplete Entry Form or any Entry From containing errors. The Entry Forms which have been tampered with or have been deteriorated, modified, falsified, reproduced, obtained illegally or that are contravening with these Rules will not be eligible. Without limiting the generality of the exoneration set forth in Section 9.1, it is understood that the Sponsor and any organization participating in the management of the contest or in the delivery of the Grand Prizes, and their respective representatives and employees, will not be responsible: (i) for Entry Forms that are ineligible, incomplete, modified, lost or submitted past the Contest Period (which shall be deemed null); (ii) for comments posted on Oasis® Canada Facebook page (the “Facebook Page”); (iii) for any information which is insufficient or incorrect related to the users of the Contest Site or of the equipment or program used in the context of the Contest, or of a technical or human error which could occur when the Entry Forms and entries are being processed; (iv) for Entry Forms or entries that are stolen, destroyed, accessed without authorization or altered; (v) for problems or technical malfunction related to networks, telephone lines, online computer systems, servers or access providers, computer equipment and software, viruses or bugs; (vi) for the Sponsor not being able to receive or send an electronic message or email, for any reason whatsoever, including traffic congestion on the internet or on any website or both; (vii) for damage caused to a Participant’s or another person’s computer system or equipment as a result of participating in, uploading or downloading material in relation to the Contest. Automated entries are prohibited, and any use, whether direct or indirect, of automated devices will cause immediate disqualification of a participant and its accomplices, and the Sponsor reserves all of its rights and recourses against the user of such automated devices and its accomplices.
8. RIGHT TO CANCEL, SUSPEND OR MODIFY
8.1 By entering the Contest, each Participant agrees to be bound by these Rules, available at the Contest Site. The Sponsor reserves the right to modify or cancel these Rules without notice, provided it has obtained the required approvals from the Régie des alcools, des courses et des jeux du Québec.
8.2 Subject to the foregoing, the Sponsor may change as well as partially or completely terminate the Contest at any time if, at its sole discretion, the Sponsor believes that the Contest is not taking place as expected for any reason whatsoever, including because of fraudulent manipulation, destruction, loss or theft of Entry Forms or entries or any other problem which could jeopardize the fairness or integrity of the Contest.
9. GENERAL CONDITIONS
9.1 By entering or attempting to enter the Contest each Participant or potential participant (and their Guests) agrees to:
(a) forever exonerate, release and hold harmless the Sponsor and its administrators, directors, employees, shareholders, agents and other representatives, its parent-company and its affiliates from any and all claims, actions, damages, demands, courses of action, causes of actions, or responsibility of any kind whatsoever resulting from or related to the entry or attempted entry in the Contest, the compliance or non-compliance with these Rules, the acceptance, possession, use or abuse of a Grand Prize or any activity related to a Grand Prize; and
(b) completely indemnify the Sponsor and its administrators, directors, employees, parent companies, affiliates, partners, suppliers, sponsors and agents for any third party claims related to this Contest or to any violation of these Rules by the Participant or any activity related to a Grand Prize, without limitation.
9.2 No communication or correspondence will be exchanged with Participants, other than Participants who have been selected as Finalists.
9.3 The Sponsor reserves the right, at its sole discretion, to exclude from the Contest and any other contest or future promotion offered by the Sponsor any Participant who does not comply with these Rules.
9.4 Each Grand Prize must be accepted as is and without substitution in cash or otherwise, except if otherwise agreed to by the Sponsor. The Sponsor reserves the right to substitute a Grand Prize of equivalent value if any Grand Prize cannot be awarded as provided for by these Rules. Any portion of a Grand Prize that is not accepted by the respective Winner will be deemed forfeited. The Sponsor does not warrant, either implicitly or expressly, the safety, appearance or performance of the Grand Prizes or any activity related to the Grand Prizes. By accepting a Grand Prize, a Winner acknowledges that the only warranties applicable to any aspect of the Grand Prize whatsoever, if they exist, are the warranties provided by the Grand Prize’s supplier to the Sponsor which are transferable and/or manufacturer warranties. The Winners do not have any recourse against the Sponsor for any warranty related to the Grand Prizes in any circumstance whatsoever. In the event a Winner does not use all or part of a Grand Prize’s components, as applicable, for any reason whatsoever, such person will not be financially compensated and this component will become null. The Sponsor will in no way be liable for any event which leads to a Grand Prize being annulled or for events beyond its control which lead to a Grand Prize or part of a Grand Prize not being awarded.
9.5 In the event of a dispute related to the identity of a Participant who validated an Entry Form on the Contest Site, such Entry Form will be deemed to have been validated by the authorized holder of the electronic address submitted at the time the Entry Form was validated. For the purpose of these Rules, “authorized holder” shall mean the physical individual who has been assigned an electronic address by an Internet access provider, Internet service provider, or any other organization responsible for assigning electronic addresses for the domain related to the electronic address contained in the Entry Form at issue. The selected Participant may be required by the Sponsor to provide proof (in a form deemed acceptable by the Sponsor, including but not limited to, photo identification issued by governmental authorities) that he or she is the authorized holder of the electronic address contained in the Entry Form at issue.
9.6 The Sponsor reserves the right, at its sole discretion, to exclude from the Contest and any other Contest or future promotion organized by the Sponsor, any person guilty or suspected of being guilty of having tampered with the Contest process or the Contest Site, of having violated these Rules or having acted in a disloyal manner or in a manner which adversely affects or is intended to disturb, abuse, threaten or harass another person. A PARTICIPANT OR ANY OTHER PERSON WHO ATTEMPTS TO DELIBERATELY DAMAGE THE CONTEST SITE, THE FACEBOOK PAGE OR ANY OTHER WEBSITE OR HINDER THE LEGITIMACY OF THE CONTEST PROCESS COMMITS CRIMINAL AND CIVIL OFFENCES, AND THE SPONSOR RESERVES THE RIGHT, IN SUCH CASE, TO CLAIM DAMAGES TO THE EXTENT PERMITTED BY LAW.
9.7 In the case of a discrepancy between the French version and the English version of these Rules, the French version will take precedence.
10. INTELLECTUAL PROPERTY
10.1 All intellectual property covering the promotional material and the Contest Site are the exclusively property of the Sponsor or its affiliates or licensors. All rights are reserved. Unauthorized copyright or use of any copyright material or intellectual property without the express written consent of its owner or holder is strictly prohibited. All trademarks are the property of their respective owners.
11.1 The Contest is neither managed nor sponsored by Facebook. The participant provides its personal information to the Sponsor and not to Facebook. Facebook will not be liable in any way for any issue related to the Contest.
12. APPLICABLE LAW
12.1 These are the official rules for the Contest. This Contest is governed by federal, provincial and municipal law and regulations. Subject to the approval of the Régie des alcools, des courses et des jeux, these Rules may be modified without notice including without limitation in order to render them compliant with federal, provincial or municipal laws or with the policies of an entity having jurisdiction over the Sponsor.
13. RÉGIE DES ALCOOLS, DES COURSES ET DES JEUX
13.1 For Quebec residents, any dispute respecting the conduct or organization of a publicity contest may be submitted to the Régie des alcools, des courses et des jeux for a ruling. Any dispute respecting the award of a Grand Prize may be submitted to the Régie only for the purpose of helping the parties reach a settlement.
14. LIST OF WINNERS
14.1 The Sponsor will publish the name of each of the Winners on the Contest Site and the Facebook Page on November 30, 2017.
INDIVIDUALS PARTICIPATING IN THE CONTEST ACKNOWLEDGE HAVING READ AND ACCEPTED THESE RULES AND AGREE TO COMPLY WITH THEM.
